The short version

Use our plugins on the sites your plan covers, don't redistribute the code or break the law with them, and we'll do our best to keep them stable, updated, and supported. The PHP code is GPLv2-or-later; everything else (your account, support, our website, bundled assets) lives under these Terms.

01 Who we are

These Terms govern your access to and use of the PrecisionWP website at precisionwp.net, our customer dashboard, and the WordPress plugins we publish (each a "Plugin", together the "Software"). We refer to all of this as the "Service".

"PrecisionWP", "we", "our" and "us" means PrecisionWP, an Israeli business, including any of our subsidiaries and affiliates. "You" means whoever is using the Service, either as an individual, or on behalf of the organisation you work for.

By creating an account, purchasing a license, or installing one of our Plugins, you agree to these Terms and to the Privacy Policy. If you don't agree, please don't use the Service.

These Terms, alongside the specific policies for individual products and services we offer, form the legal framework governing your use of the Service. Where a particular product has its own terms (for example, a Plugin-specific addendum), those terms apply to that product in addition to these.

02 Definitions

A few words mean specific things in this document:

License Key
The unique credential we issue when you purchase a Plugin. It authorises updates and premium features on the number of sites included in your plan.
Activation
A single WordPress installation where a License Key is in use. Multisite networks count as one Activation per subsite unless your plan says otherwise.
Subscription
A recurring License that grants updates and support for the period stated at checkout.
Subscription Plan
The specific package you purchased, including the number of Activations, the features enabled, and the support tier.
Update Channel
Stable or Beta. Stable is the default; Beta is opt-in and may contain features still being tested.
Fees
The amounts payable for your Subscription Plan, as listed on the checkout page at the time of purchase or renewal.

03 Eligibility & your account

Age & capacity

The Service is intended for users at least eighteen (18) years old. By registering you confirm that you are 18 or older, that you have full legal capacity to enter into this agreement, and that, if you are using the Service on behalf of an organisation, you are authorised to bind that organisation to these Terms.

One account, one person

Each account is for one person (or, for a corporate account, one organisation with a single authorised employee using it on the organisation's behalf). You may not share your sign-in credentials, nor may you allow anyone outside your organisation to access the account.

You are solely responsible for everything done with your account, including any activity by anyone using your credentials. Please pick a strong password and turn on two-factor authentication from your dashboard. If you suspect your account has been compromised, tell us at once so we can work with you to fix it.

Account ownership

We consider the owner of an account to be the person or entity that controls the email address on record, not necessarily the person who paid for the Subscription. Where we believe there is good reason to determine otherwise, we may identify the rightful owner at our reasonable discretion.

Billing information

You must provide accurate, complete, and up-to-date billing information (name, billing address, payment method, VAT ID where applicable) and keep it current. Inaccurate or outdated billing information may result in payment failures and suspension of access to the Service until the issue is resolved.

04 Your warranties to us

By using the Service you represent and warrant to us that:

  • You have, and will have at all times, all rights, licenses, and consents required for your use of the Service and for any content you upload, install, or process through it;
  • You will comply with all applicable laws, rules, and regulations;
  • You were not previously prohibited from using the Service, and your account has not previously been suspended or terminated by us for cause.

05 Your license to use the Software

When you purchase a Subscription we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software on the number of Activations included in your Subscription Plan, for the duration of the Subscription. Available Subscription Plans (and their site limits) are listed on our checkout pages and may be updated from time to time. You may:

  • Install the Software on sites you own or operate, or on client sites where you've been engaged to do so, up to the Activation limit of your Subscription Plan;
  • Modify the PHP, CSS, and template files of the Software for your own use (we recommend doing this via a child plugin so your changes survive updates);
  • Deactivate and move a License from one site to another at any time, from your dashboard.

You may not:

  • Resell, sub-license, rent, lease, assign, transfer, pledge, or otherwise convey the Software, your License Key, or your account as a standalone product;
  • Share your License Key with anyone outside your organisation, or use a single License Key on more sites than your Subscription Plan covers;
  • Remove or obscure copyright notices, "Powered by PrecisionWP" attribution in our admin screens, or version metadata;
  • Imitate our API calls, frame, mirror, or otherwise replicate our hosted services in a way intended to bypass authentication or licensing;
  • Reverse engineer, decompile, or disassemble any part of the Service except to the extent expressly permitted by law;
  • Use the Software to send spam, mine cryptocurrency on visitors' devices, or do anything illegal under your local law.

06 Billing, renewals & refunds

Pricing & taxes

Prices are shown on the checkout page in the currency listed at purchase and are exclusive of taxes unless stated otherwise. VAT, sales tax, or equivalent duties will be added at checkout where applicable. You are responsible for reporting and paying any taxes relating to your purchase, and for any third-party charges (international transaction fees, currency conversion fees) imposed by your bank or card issuer. Payments are processed by our third-party merchants of record; your card statement may show their name, not ours.

Automatic renewals

Annual subscriptions renew automatically at the end of each subscription period, and you authorise us to charge the payment method on file when the renewal is due. We'll email you a renewal reminder before we charge. You can cancel a renewal at any time before the renewal date from your dashboard.

Pricing changes on renewal

We reserve the right to change Fees or to introduce new fees at renewal. Where we do, we will give you at least fourteen (14) days' advance notice by email or through a prominent notice on your dashboard before the change takes effect. If you don't want to accept the new price, you can cancel before the renewal. Your continued use of the Service after the notice period constitutes acceptance of the new Fees.

Failed payments

If a renewal charge fails, we may retry it on the payment method on file. If all retries fail, your Subscription may be suspended or cancelled and we'll let you know by email.

Refunds

We offer a 14-day, no-questions-asked refund on first-time purchases of paid Subscriptions. After 14 days, or on subsequent renewals, refunds are at our discretion. For monthly subscriptions, each month is treated as a renewal, so the 14-day window does not reset.

We may refuse a refund where there is evidence of bad faith or misuse of the Service, for example, where significant entitlements have already been consumed before the refund request, or where more than one refund has been requested for the same product within a 12-month period.

If your Subscription lapses

If your Subscription ends or isn't renewed, the Plugin keeps working normally on the version installed at the time, but you'll stop receiving updates and support. You can renew at any time, there's no late fee.

07 Updates & support

While your Subscription is active, you receive:

  1. All updates we publish to the Plugin (security patches, bug fixes, and new features) delivered through the WordPress admin updater;
  2. Email support at [email protected], with a target first response within one business day. You can also open a support ticket directly from your My Account area;
  3. Access to our private documentation, recipe library, and tutorial archive.

Support is provided on a reasonable commercial-effort basis, to the Subscription owner, and covers the Software only. Support does not cover: altered or damaged copies of the Software; issues caused by negligence, abuse, or misuse; downtime caused by your hosting provider, your own infrastructure, third-party plugins or themes, or events outside our reasonable control.

08 Intellectual property

The Software and everything on our website (code, copy, illustrations, the wordmark, the moss-green colour we're a little too attached to) are owned by PrecisionWP or licensed to us, and are protected by copyright, trademark, and other intellectual-property laws worldwide.

Because our Plugins are distributed for use on WordPress, the PHP code of each Plugin is licensed to you under the GNU General Public License, version 2 ("GPLv2") or any later version, in line with the WordPress core licensing model. You receive all rights granted under the GPL with respect to that PHP code. These Terms do not modify the GPL; they govern the additional services we provide (account, updates, support, documentation, the dashboard, and our website).

JavaScript, CSS, images, fonts, and other media bundled with the Software, as well as our website, are not licensed under the GPL and remain our proprietary content, subject to these Terms.

You retain all rights to content you publish on sites running our Plugins. We claim no ownership of your data.

09 Feedback & contributions

If you contribute code to our open-source Plugins (for example, via a pull request), your contribution is licensed under the same GPLv2-or-later licence as the Plugin, and you confirm that you have the right to make that contribution.

If you send us suggestions, feature requests, bug reports, or other feedback about the Service, you acknowledge that: (i) you own the rights in that feedback or are otherwise entitled to share it; (ii) the feedback is not confidential; and (iii) we may use it for any purpose, without compensation or credit to you, including to improve the Service.

If you post in our forums, leave comments on our blog, or submit reviews or other public content through the Service, you retain ownership of that content but grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, and create derivative works of it for the purposes of operating and promoting the Service. Don't post anything illegal, infringing, defamatory, or offensive.

10 Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk email or any other form of spam;
  • Distribute malware, run phishing campaigns, or attempt to gain unauthorised access to other systems;
  • Copy, scrape, mirror, frame, or replicate our website or its functionality, or use automated tools to submit queries or posts beyond your normal use;
  • Probe, scan, or stress-test our infrastructure or APIs, or make excessive calls that interrupt our hosting or web servers;
  • Reverse engineer, decompile, or attempt to derive source code from any non-GPL component of the Service;
  • Try to guess usernames or passwords, or otherwise circumvent technical restrictions in the Service;
  • Use the Service in any way that infringes the rights of any third party, including intellectual property, privacy, or publicity rights;
  • Resell support tickets, license keys, or our documentation as if they were your own product;
  • Remove our legal notices, branding, or attribution from any part of the Service;
  • Process, upload, or transmit any patient, medical, or other protected health information regulated by HIPAA or comparable laws. Our Service is not designed for, and is not authorised for, processing of such data.

Behaviour towards our team

Our team is entitled to a safe working environment. We will not tolerate abusive, threatening, discriminatory, or harassing behaviour towards our staff, whether in writing, on calls, or on social channels. Where this happens we may, at our discretion, end direct contact with the user concerned and/or suspend or terminate the account.

If we believe in good faith that you're in breach of this section, we may suspend your account while we investigate, and terminate it if the issue isn't resolved.

11 Third-party components & services

The Software may include open-source libraries and other third-party components, and the Service may link to or integrate with third-party platforms (payment processors, analytics providers, hosting providers, marketplaces). Your use of those components and services is also governed by their own licences and terms. If there is a conflict between those terms and ours with respect to a third-party component, the third-party terms prevail for that component.

We don't monitor, control, or endorse the content or services of third parties. Any concerns about a linked or integrated service should be raised directly with that provider. We're not responsible for outages, content, or actions of third-party services, but we'll try to give reasonable notice if a third-party dependency materially affects the Service.

Our Plugins are provided without support for third-party components used with them, including any other plugins or themes you choose to install alongside our Software.

12 Warranties & limits of liability

We try hard to ship Software that's stable, fast, and well-tested. But:

The Service is provided "as is" and "as available". To the maximum extent permitted by law, PrecisionWP disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service or the servers that deliver it are free of viruses or other harmful components. Please take backups of your sites; your use of the Service is at your own risk.

To the extent permitted by law, our total aggregate liability to you for any claim arising out of or relating to the Service, regardless of the legal theory (contract, tort, statute, or otherwise), is limited to the amount you actually paid us in the twelve (12) months immediately preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost revenue, or loss of goodwill, even if we have been advised of the possibility of such damages.

Some jurisdictions don't allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, death or personal injury caused by our negligence, or anything else that can't be limited under applicable law.

13 Indemnification

You agree to defend, indemnify, and hold harmless PrecisionWP and our affiliates, officers, directors, employees, contractors, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' and experts' fees) arising out of or related to: (i) your use of the Service in breach of these Terms; (ii) any content you submit, upload, or transmit through the Service; (iii) your violation of any applicable law or third-party right; or (iv) your breach of any representation or warranty in these Terms.

We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us. You agree to cooperate with our defence and not to settle any matter without our prior written consent.

14 Termination

You can cancel your account at any time from your dashboard. Your data is deleted within 30 days of cancellation, except where we're required to retain it for tax or legal reasons.

We may suspend or terminate your account, and your right to access or use any portion of the Service (including the right to receive updates and support), at our sole discretion and without notice if you materially breach these Terms (including any provision of the Acceptable Use section) or fail to pay Fees when due. We may also terminate your account if you don't fix a remediable breach within fourteen (14) days of being told about it.

Upon termination, you must immediately stop using the Service. Sections that by their nature should survive termination, including IP, warranties, limitations of liability, indemnification, and governing law, will survive.

We won't be liable to you or any third party for any damage arising from a termination or suspension made in accordance with these Terms. Where we terminate for breach, you're not entitled to a refund of any prepaid Fees.

15 Governing law, disputes & no class action

Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

The competent courts of Tel Aviv-Jaffa, Israel have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you and we both submit to that jurisdiction. Notwithstanding the foregoing, we may seek injunctive or equitable relief in any jurisdiction worldwide where you are alleged to be in breach of these Terms, and you waive any requirement that we post a bond as a condition of obtaining such relief.

No class actions

You agree to bring any claim against us solely on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding against PrecisionWP, and any claim must be brought in your own name and for your own losses only.

Time limit on claims

Your failure to take action against us within one (1) year of any alleged breach of these Terms will be deemed a waiver of your right to bring that claim.

16 General provisions

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be reformed only to the extent necessary to make it enforceable. If it cannot be reformed, it will be severed and the remaining provisions will continue in full force and effect.

Assignment

We may assign these Terms, in whole or in part, at our discretion, including in connection with a merger, acquisition, reorganisation, or sale of assets. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent; any unauthorised assignment is void.

Entire agreement & waiver

These Terms (together with any product-specific terms and the Privacy Policy referenced in them) are the entire agreement between you and PrecisionWP regarding the Service, and supersede any prior agreements. Our failure to enforce any right or provision is not a waiver, and any waiver must be in writing.

Force majeure

Neither party will be liable for failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil disturbance, government action, labour disputes, internet or telecom failures, or cyberattacks.

Notices

We may give you notice by email to the address on your account, or by a prominent notice in the dashboard or on our website. Notices to us should be sent to [email protected].

Relationship of the parties

Nothing in these Terms creates a partnership, agency, employment, or joint-venture relationship between you and PrecisionWP. Neither party has authority to bind the other.

17 Changes to these Terms

We may update these Terms from time to time, to reflect new features, legal requirements, or to fix things that turned out to be ambiguous. No update will have retroactive effect. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page;
  • Email account holders at least 14 days before the changes take effect.

If you continue to use the Service after the changes take effect, you are agreeing to the updated Terms. If you don't agree, you can cancel your account, and where we make a material change that genuinely impairs your ability to use a paid feature you've already purchased, contact us and we'll either refund the unused portion of your Subscription on a prorated basis or agree a specific carve-out with you.

We may also change, rebrand, or rename any of our products, services, features, or pricing tiers without prior notice, provided the core functionality of the relevant product remains substantially the same. References in these Terms to a particular product or feature name will be read as referring to its successor name where applicable.
